01

Can a foreign national or company own 100% of a Ukrainian limited liability company?

Yes. A foreign individual or legal entity may be the sole participant in a Ukrainian limited liability company and hold 100% of its share capital, provided that neither the founder nor the relevant business activity is subject to sanctions or specific statutory restrictions.

We also assist with establishing companies in other legal forms and registering separate subdivisions of foreign legal entities in Ukraine.

02

How long does it take to register a company?

Provided that a complete and properly prepared set of documents has been submitted, the state registration of a company is generally completed within one business day.

The full process including document preparation and translation, obtaining Ukrainian tax identification numbers for foreign founders, completing the bank’s compliance review and opening a corporate bank account typically takes between one and two weeks. The final timeframe depends on the proposed corporate structure, the founders’ countries of origin and the requirements of the selected bank.

03

Do I need to travel to Ukraine in person?

In most cases, the state registration of a company can be completed remotely through an authorized representative acting under a lawyer’s mandate or, in certain cases prescribed by law, under a notarized power of attorney.

However, the bank may require the founder, ultimate beneficial owner, director or another authorized person to complete either in-person identification or remote video verification. Personal attendance may also be required for certain immigration, licensing or regulatory procedures.

04

Do I need to travel to Ukraine?

No. Every step — incorporation, banking, tax registration — can be completed remotely through a notarised power of attorney. Many of our clients open and operate their Ukrainian entity without ever visiting, though we recommend a visit once operations begin.

05

Can you assist with tenders and reconstruction projects?

Yes. We currently advise Ukrainian and international companies preparing to participate in public and commercial procurement procedures, as well as projects financed by international financial institutions and donor organizations.

Our assistance may include reviewing tender documentation and eligibility requirements, assessing the proposed participation structure, preparing the required documents, providing legal support for partnerships, consortium arrangements and subcontracting relationships, and reviewing and negotiating contracts.

06

What Should Be Reviewed Before Investing in a Ukrainian Company or Project?

Before committing capital, acquiring an equity interest or entering into a transaction with a Ukrainian partner, investors should conduct comprehensive legal due diligence on the proposed investment.

Depending on the nature of the transaction, the review may cover the target’s corporate structure and ultimate beneficial ownership, the authority of the parties, title to assets and real estate, material contracts, licences and permits, pending or potential disputes, enforcement proceedings, sanctions exposure, and relevant regulatory, employment, tax and compliance risks.

Based on the findings, we help investors determine an appropriate legal structure for the transaction and develop suitable protection mechanisms. These may include conditions precedent to closing, representations and warranties, payment safeguards, corporate governance and control arrangements, security for contractual obligations, exit provisions, and appropriate governing-law and dispute-resolution clauses.

The scope of the due diligence and the structure of the transaction are tailored to the nature of the asset, the relevant industry, the financing model and the investor’s commercial objectives.

07

Can a business or investment be insured against war-related risks?

War-risk insurance mechanisms are available, although eligibility for coverage is assessed on a case-by-case basis. It depends on the nature of the investment or asset, the location of the project, the financing structure, the scope of coverage sought and the underwriting criteria of the relevant insurer or financial institution.

We help clients assess the available insurance mechanisms, identify potential coverage providers, prepare the necessary documentation and manage communications with insurers and financial institutions. The final decision on whether to provide coverage remains with the relevant insurer.
