Legal Support for Business and Investment in Ukraine.

Our Kyiv-based lawyers advise international companies and investors entering the Ukrainian market, carrying out individual investment projects, or already operating in Ukraine. We assist with establishing legal entities, structuring investments, setting up local operations and contractual arrangements, preparing for public and commercial tenders, and addressing ongoing legal, tax, and regulatory matters.

Our work covers reconstruction, infrastructure, and logistics projects, as well as investments in other sectors of the Ukrainian economy.

We support each client throughout the engagement and take responsibility for the full scope of legal matters from selecting the appropriate corporate structure and incorporating the company to commercial contracts, employment matters, taxation, and regulatory compliance. We coordinate with notaries, banks, public authorities, and local counterparties, oversee documentation and deadlines, and support the practical implementation of the agreed solutions.

When required, the entire engagement including advice, documentation, and day-to-day communication can be conducted in English. We explain not only what Ukrainian law requires, but also how it is applied in practice.

Why Ukraine

Reconstruction is opening one of the largest development markets in Europe.

A New European Market for Investment and Development. Ukraine’s reconstruction is creating one of Europe’s most significant emerging markets for investment and development. The country’s recovery is already generating substantial opportunities across infrastructure, residential construction, energy, logistics, manufacturing, technology, and professional services.

Internationally Backed Reconstruction. Infrastructure, housing, and energy projects are being implemented with the support of international financial institutions, donor-funded programmes, public-sector bodies, and private investors. This combination of public and private funding is creating opportunities for international contractors, suppliers, consultants, and strategic partners.

EU-Aligned Regulatory Transformation. Ukraine is steadily aligning its legislation, regulatory framework, and institutional practices with European Union standards. These reforms are enhancing market transparency, strengthening corporate governance, improving procurement procedures, and reinforcing investor protection.

FAQ

Answers to the questions we hear most from foreign founders.

Have a different question? Email us — we reply within one business day.

Can a foreign national or company own 100% of a Ukrainian limited liability company?

Yes. A foreign individual or legal entity may be the sole participant in a Ukrainian limited liability company and hold 100% of its share capital, provided that neither the founder nor the relevant business activity is subject to sanctions or specific statutory restrictions.

We also assist with establishing companies in other legal forms and registering separate subdivisions of foreign legal entities in Ukraine.

How long does it take to register a company?

Provided that a complete and properly prepared set of documents has been submitted, the state registration of a company is generally completed within one business day.

The full process including document preparation and translation, obtaining Ukrainian tax identification numbers for foreign founders, completing the bank’s compliance review and opening a corporate bank account typically takes between one and two weeks. The final timeframe depends on the proposed corporate structure, the founders’ countries of origin and the requirements of the selected bank.
